End-User License Agreement for Neo Notes

“NeoLAB Convergence” is a company established and incorporated under the South Korean law.

For more information, please see http://www.neolab.net, Neo Notes is a trademark of NeoLAB Convergence.

This agreement (the “Agreement”) includes the terms and condition which grant to you the license to install and
use Neo Notes (this “Software”). The Software must be used in accordance with this Agreement. By installing,
copying, or otherwise using the Software, you are expressly agreeing to be bound by the terms and conditions of this Agreement.

Please use and load this Software product after carefully reading the terms of this Agreement below.
If you DO NOT agree to the terms of this Agreement, DO NOT install or use the Software. Neo Notes is protected by copyright laws and
international copyright treaties, as well as other intellectual property laws and treaties. This Agreement is valid from the moment of installing the Software (“effective date”).


Under the terms of this Agreement, NeoLAB Convergence grants to you the restrictive, non-exclusive right to use one copy of the Software and license for solely your internal business purpose,
and internal development / test purpose, except external use and commercial use which you and your business in connection with the third-party may gain financial or strategic benefit.

All rights granted to you under the Agreement are protected by NeoLAB Convergence. This license is valid until terminated.
The Agreement can be terminated whenever you would like, by removing/destroying the Software and all copies.

User shall not, and shall not allow, any third-party to:

a) Sub-license, distribute, sell, rent, lease, and donate whole or a part of the Software to a third-party, or otherwise transfer your right.

b) Modify, reverse engineer, de-compile, disassemble the Software or otherwise attempt to derive sequence, structure and source code of the Software, or any act prohibited by a law.

c) Distribute, sell, rent, lease, and donate any application created using and/or based on this Software.

d) Eliminate or modify any notice on copyright, property and patent rights, or a trade secret, or any warning from any clause contained in the Software.

e) Except as otherwise provided herein, copy all or any part of the Software.

If you fail to comply with any of the terms of this Agreement, your license shall automatically terminate. Such termination shall be in addition to, and not In lieu of, any criminal, civil or other remedies available to NeoLAB Convergence.

Trademarks of the Software, intellectual property rights, and all other rights of the Software therein are the exclusive property of NeoLAB Convergence.
You are prohibited from removing any copyrights or proprietary notices on the Software, and you must reproduce all copyright and proprietary notice on the copies made by and/or on behalf of you.

NeoLAB Convergence may, from time to time, revise the Software and its provisions, but NeoLAB Convergence incurs no obligation to furnish such revision or updates to you.
Except as otherwise provided herein, NeoLAB Convergence DOES NOT grant to you an express or an implied right of the patent, the copyright and the trademark of the Software, or other intellectual property rights.

You are prohibited from transferring the Software to any third-party, or to copy the Software.

The Software is provided “AS IS”, without the express or implied warranties for non-infringement, merchantability, fitness for a particular purpose or use.

NeoLAB Convergence is not liable to user or to any third-party for the completeness and accuracy of the information, text, graphic, link, or other provisions.
NeoLAB Convergence DOES NOT warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.

This Software is provided as "AS IS", and NeoLAB Convergence expressly disclaims any and all other warranties, express, or implied, concerning the Software or the application, operation or use thereof, or the outcome generated by the operation or use thereof, including, any implied warranty arising from statue or otherwise in law or from a course of dealing or usage of trade and all implied warranties of merchantability or of merchantable quality, non-infringement or of fitness for any purpose, particular specific or otherwise, concerning the Software and the accompanying written materials and the application, operation, or use thereof.

In no event will NeoLAB Convergence be liable for damage out of the use of the Software or Inability of use (including, without limitation, lost profits, business interruption, or lost information),
even if NeoLAB Convergence has been advised of the possibility of such damages.

In no event shall NeoLAB Convergence have liability to you or any other person or entity for lost data or any other damages resulting from misuse of the Software.

Some jurisdictions DO NOT allow the exclusion or limitation of incidental or consequential damages, so the foregoing exclusion and limitation may not apply to you.
There might be different legal rights depending on the jurisdictions.

This Agreement shall become effective on the "effective date", according to this section, it remains In full force until terminated.
This Agreement shall automatically expire at the end of the term of this Agreement in case that the usage of the product is limited to a specific period. If you fail to comply with any of the terms of this Agreement,
your license shall automatically terminate. You may terminate this Agreement at any time for any reason. Upon the termination of this Agreement,
you must discontinue all use of the Software, and promptly destroy the Software, any copies, and backups created by you or processed differently.

Sections 3 (PROPRIETARY RIGHTS & LISENCE), 5(LIMITATION OF LIABILITY; INDEMNITY.), 7 (Entire Agreement), and 8(Governing Law), shall survive such termination.

7. Entire Agreement
This Agreement is entire agreement between the parties to this Agreement, and it supersedes any information you received and/or any existing verbal or written agreement relating to the Software and/or the subject matter of this Agreement.
For the avoidance of doubt, this Agreement DO NOT apply to any third-party software.

You acknowledge that you have read this license Agreement and that installation and/or usage of the Software indicates your acceptance of the terms and conditions here in.

8. Governing Law
This Agreement shall be governed by, and construed in accordance with, the laws of South Korea. If for any reason a court of competent jurisdiction finds any provision of this license,
or proportion thereof, to be unenforceable, that provision of the license shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this license shall continue in full force and effect.


Overall privacy statement

Neolab Convergence takes your privacy seriously. Because we gather certain types of information about the users of our application and our customers,
we want to help you understand the terms and conditions surrounding the collection and use of that information.
This privacy statement discloses the types of information we gather, how we use it, and how to correct or change it.

1. What information does Neolab Convergence collect?
There are a few instances where Neolab Convergence may collect information from you.

When you buy products from Neolab Convergence and our partners, we may ask you to register that product in order to gain access to support and other features.
That registration may require that you provide personal information such as your name, email address, mailing address, and phone number, as well as demographic information such as your gender or occupation.
When you buy or download software from Neolab Convergence and our partners, we may ask for you to provide personally identifiable information in order to proceed to check out, such as your name, email address and billing address.

To use certain features on our website such as posting on our blog or in our community forums, to be notified about new products and services, or to be a part of our beta software programs,
we may also require that you provide personal information such as your name, email address, zip code and country of residence, as well as demographic information such as your gender or occupation,
in addition to asking you to create a unique user name and password.

Neolab Convergence does not collect any of the content that you create with your Neolab Convergence products without your express action and approval.
Through use of Your Neolab Convergence products or software, Neolab Convergence periodically collects and uses usage data, including technical information about your smartpen, your usage of your smartpen (e.g., monthly usage),
your usage of software, and the version of your computer operating system and related system software. Such usage data does not include any of the content you create with Neolab Convergence products.

There may be other times in the future that Neolab Convergence collects personal information from you. Neolab Convergence will always make clear what information it is requesting.

2. How does Neolab Convergence use the information it gathers?
We generally use the information we gather to help us develop, enhance and improve the user experience with our products and services.
This can include providing you with better customer service and support, informing you about new products and services, requesting participation in Neolab Convergence surveys,
research and customer feedback and otherwise making your user experience with Neolab Convergence more enjoyable.
We also use the information to verify compliance with the terms of the license agreements you have entered into with Neolab Convergence.

3. How does Neolab Convergence share the information?

Personally identifiable information

We will not make any of your personally identifiable information available to other companies or people, except when:

① specifically agree that we can share that information.

② You volunteer information or create a public profile in the course of your participation in our community features such as forums, blogs, or other forms of public communication and interaction.

③ You include personally identifiable information of yourself or others in audio recordings, notes, or other content ("Your Content") you upload to Neolab Convergence's community features such as forums, blogs or community site.
If you do, Neolab convergence will collect and store such information and will make it available to users to whom you've elected to share who could then share it with third parties. In addition,
although Neolab Convergence does not specifically process any personally identifiable information contained within Your Content, Neolab Convergence may share your content—and the personally identifiable information it contains—with third-party vendors who provide us with storage and hosting services
and with other entities in the case of a business transfer as described below.

④ We hire third-party vendors to fulfill certain Neolab Convergence product orders and provide services such as customer support or data processing. These companies are only allowed to use the information in order to help us fulfill those services to you. We do not provide your information to these companies for their own, permanent use.

⑤ We are required by law, such as when we respond to subpoenas, court orders, or legal process.

⑥ We believe that your actions violate applicable laws, any usage guidelines for specific products or services, or threaten the rights, property, or safety of our company, our users, or others.

Aggregate information

We aggregate personally identifiable information and disclose it in a non-personally identifiable manner to our application developers and other third parties for development, marketing, promotional, and other purposes. We do not disclose to these entities any information that could be used to identify you personally without your knowledge and consent. We may provide them with aggregate information to enable them to develop and provide new products and services to our customers.

Business transfers

We are always seeking to improve our business. In accomplishing this objective, we may buy or sell a company, or one or more of the companies in our corporate family may merge with or be acquired by another company. If we sell a business, we may transfer some or all of your information as a part of the sale in order that the service being provided to you may continue or for other business purposes.

4. What are my options?
If you would rather not provide any of the information requested by a registration process, you do not need to register with us. You will not, however,
be eligible for certain support and services related to your Neolab Convergence product or service if you do not register.

5. How will I know if the privacy policy is changed?
Any modifications to our privacy practices will be reflected first within this area of our Web site or Application.
If we are going to be using the information collected from users in a manner materially different from that stated at the time of collection, we will send affected users written notice of the change by e-mail.

International Users
Because Neolab Convergence users might use our products or software globally, we make information we gather available to our worldwide business units. If you are in the European Union, please note that the personal information you provide in connection with (i) registering your product, (ii) buying or downloading software, and/or (iii) uploading Your Content to Neolab Convergence's community features, will be transferred outside the European Union for use by Neolab Convergence and its affiliates and subsidiaries for any of the purposes described in this Privacy Policy. By using the Neolab Convergence products or software, or otherwise providing us with any personal information, you consent to this transfer of this personal information and represent that you have any and all authorizations or consents that may be required to provide such information to Neolab Convergence.
